Confidential Relationship

The Disclosing Party may disclose certain confidential and proprietary trade secrets and business information to the Receiving Party. Both parties agree to enter into a confidential relationship with respect to the disclosure and protection of such information (the “Confidential Information”).

2. Definition of Confidential Information

For the purposes of this Agreement, “Confidential Information” means any and all information, whether written, electronic, visual, oral, or otherwise, that has or could have commercial value or other utility in the Disclosing Party’s business. This includes, but is not limited to: project concepts, characters, ideas, scripts, designs, artwork, technical data, business strategies, pricing, financial information, and any related materials or data shared in connection with the project.

3. Obligations of the Receiving Party

Strict Confidence

1. The Receiving Party shall hold and maintain all Confidential Information in strict confidence and use it solely for the purpose for which it was disclosed. 2. The Receiving Party shall not disclose, publish, reproduce, or use any Confidential Information for its own benefit or for the benefit of any third party without the prior written consent of the Disclosing Party. 3. Access to Confidential Information shall be limited to those employees or contractors of the Receiving Party who require such access to perform their duties and who are bound by confidentiality obligations no less restrictive than those set forth in this Agreement. 4. Upon written request from the Disclosing Party, the Receiving Party shall promptly return or destroy all materials containing Confidential Information, including all copies, notes, and summaries thereof.

4. Term and Survival

The confidentiality obligations under this Agreement shall commence on the Effective Date and shall continue for a period of five (5) years following the date of disclosure, or longer if required to protect trade secrets or intellectual property. These obligations shall survive the termination of any business relationship between the parties.

5. Miscellaneous

1. Nothing in this Agreement shall be construed as creating any partnership, joint venture, or employment relationship between the parties. 2. This Agreement may only be amended or modified in writing and signed by both parties. 3. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. 4. This Agreement constitutes the entire understanding between the parties concerning the subject matter and supersedes all prior agreements or understandings, whether written or oral. 5. Each party’s obligations under this Agreement shall be binding upon and for the benefit of their respective successors, assigns, and authorised representatives.

6. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The parties agree that the courts of England and Wales shall have exclusive jurisdiction to resolve any dispute arising out of or in connection with this Agreement.
